OVERALL SUMMARY

Join Close Brothers Legal Team where you will provide advice, legal risk management, drafting and negotiating a portfolio of supplier contracts across the Bank businesses. Support the Head of Third Party Management Legal on commercial contract matters and associated legal and regulatory issues.

RESPONSIBILITIES

  • Commercial contracts role carrying out a variety of commercial legal work and delivering bespoke legal advice to the Bank businesses.
  • Assist with reviewing, drafting, negotiating and structuring of a broad range of commercial contracts, including material and non-material outsourcing services agreements, goods and services agreements, IT services agreements such as Cloud and SaaS arrangements and Intragroup arrangements.
  • Work closely with the Bank businesses and the Third Party Management Team at various stages of the contracting process. This includes:
    • supporting the pre-contracting process, e.g. inputting and reviewing RFI’s and RFP’s in line with contracting guidelines and best practices and drafting and evaluating Key Contracting Principles;
    • advising on legal issues regarding in-life contracts, assisting with contract renewals, termination and exit assistance;
    • assisting on legal matters regarding the ongoing monitoring of third party suppliers; and
    • preparing contact summaries, risk reports and stakeholder briefing documents.
  • Advise on all contentious and litigious matters involving third party supplier arrangements.
  • Participation in various Bank governance fora and risk committees and deputise for the Head of Third Party Management Legal if requested.
  • Develop integrated relationships and credibility with key members of businesses and across Bank central functions.
  • Liaise with and manage relations with relevant stakeholders (including business / risk / compliance colleagues) to deliver a high standard of legal advice that is tailored to Close Brother’s business models, acting as the initial point of contact / support and trusted adviser

WE WOULD LOVE TO HEAR FROM YOU IF:

  • A well rounded, broadly based and highly regarded commercial contracts specialist with first rate academic credentials, demonstrable intellectual abilities and an excellent career track record to date.
  • An in-depth understanding of the financial services industry or demonstrable wide-ranging commercial experience.
  • A business-oriented lawyer with the breadth of experience to cover a broad base of legal and commercial issues across a variety of Bank businesses.
  • Ability to think strategically and creatively see legal issues in their wider context and advise accordingly.
  • Excellent interpersonal and communication skills, strong organisational skills and judgement, excellent analysis, drafting and negotiation skills.
  • Self-motivated to drive delivery against objectives and an ability to work autonomously and manage own caseload.
  • Customer orientation and specifically a willingness to learn and to build good working relationships with internal clients and stakeholders to ensure understanding with the Bank’s contractual obligations, identify areas of improvements of documents, policies and standards, to help enhance and improve on the customer experience.
  • Building relationships with and co-ordinating with other Close Brothers lawyers in the Close Brothers Legal Department and helping to develop / drive objectives for the broader legal team.
  • Experienced within a regulated environment and working with Compliance and Risk colleagues on a wide range of issues.
  • Accustomed to operating with business stakeholders in a high paced environment and with a successful track record of aligning legal priorities to business goals.
  • An ability to provide incisive pro-active advice and sound commercial legal judgement.
  • Legal qualification: 6 years PQE with commercial contracts experience
